2. Scope of Work

This tender seeks to establish a multi-party framework agreement for the provision of corporate legal services and legal conveyancing services. The framework will be divided into three distinct lots, with separate framework agreements to be established for each. Contracts awarded under the framework will be for a term of 4 years. The estimated expenditure for Lot 1 is €800,000 over the term, and for Lots 2 and 3 combined is €8,000,000 over the term.

The scope of services is structured as follows:

  • Lot 1: Board, Corporate, Tenancy and Multi-Disciplinary requirements. This lot covers general corporate legal services, including board governance, company secretarial duties, tenancy agreements, and other multi-disciplinary legal matters. Contracts under this lot may be awarded directly to one of the two admitted law firms based on the most economically advantageous solution, considering experience and pricing.

  • Lot 2: Development and Acquisitions for projects over €40 million. This lot focuses on legal services related to the development and acquisition of projects exceeding €40 million in value. Contracts will be awarded directly to law firms admitted to Lot 2 on a rotational basis, determined by their ranking in the framework evaluation. Selection for each call-off will be subject to capacity confirmation and pricing.

  • Lot 3: Development and Acquisitions for projects under €40 million. This lot covers legal services for the development and acquisition of projects valued below €40 million. Similar to Lot 2, contracts will be awarded directly to law firms admitted to Lot 3 on a rotational basis, based on their framework ranking. Capacity and pricing will be confirmed for each call-off.

Typical transactions for conveyancing services under Lots 2 and 3 are stated to average approximately 30–100 units. Tenderers must demonstrate the capacity to manage acquisition and conveyancing projects valued in excess of €100 million.

3. Background & buyer context

Co-operative Housing Ireland (CHI) is the contracting authority procuring these legal services. This procurement is being conducted under an open procedure in accordance with the European Union (Award of Public Authority Contracts) Regulations 2016. The establishment of this framework agreement is intended to provide CHI with access to a panel of legal service providers for its corporate and property-related legal needs over a four-year period. The estimated total value of the framework is €8.8 million. The framework is structured into three lots to cater to different specialisms and project values within CHI's operations.

4. Eligibility & selection criteria

Tenderers must meet the following minimum requirements to be considered for evaluation:

  • Turnover requirement:

  • Lot 1: €1,500,000 average annual turnover for the most recent financial year.

  • Lot 2: €10,000,000 average annual turnover for the most recent financial year.

  • Lot 3: €2,500,000 average annual turnover for the most recent financial year.

  • Professional Liability (Lot 1): Indemnity limit up to €6.5m.
