Terms of Service

These terms govern your use of TenderMatch ("we", "us", "the Service"), operated from Ireland. By creating an account or using the Service you agree to these terms.

1. The Service

TenderMatch aggregates publicly-available information about Irish and EU public procurement — tenders, buyers, award notices — and uses machine learning to match them to your company's historical contract wins. We provide: email alerts, a searchable dashboard, document extraction, and an AI research chat scoped to individual tender documents.

All source data is drawn from publicly-accessible registries: eTenders.gov.ie, TED (Tenders Electronic Daily), and the Irish Companies Registration Office. We do not scrape, index, or resell non-public information.

2. Account & eligibility

You must be at least 18 and represent a company or organisation lawfully permitted to bid for Irish public contracts. You are responsible for keeping your login credentials secure and for all activity on your account. One account represents one organisation; invite additional team members via the settings page.

3. Free access and optional paid services

  • Free core: Tender discovery, saved opportunities, one business profile, matches and chosen alerts remain free. There is no trial expiry or card requirement for these features.
  • AI usage: AI tools have usage limits shown in the app. Higher usage and future optional services may be paid.
  • Paid services: New paid offers are not currently available. Any future paid service will have its price and terms explained before you explicitly choose it. Free accounts are never charged automatically. Existing subscription agreements remain manageable through the billing portal.
  • Billing: Payments are processed by Stripe, Inc. We do not store your full card details. Invoices are available via the customer portal.
  • Cancellation: You can cancel any time from the billing portal; the subscription ends at the close of the current billing period and no refunds are issued for partial months.

4. Acceptable use

You agree not to: (a) reverse engineer or scrape the Service, (b) resell matches, alerts, or RAG-chat transcripts to third parties, (c) use the Service to send unsolicited commercial email, or (d) upload content that infringes rights of others. We may suspend accounts that violate this clause.

5. Intellectual property

The Service's code, models, prompts, and UI are our property. Public procurement records remain public; our selection, ranking, and enrichment of those records is our proprietary work. You keep ownership of anything you input — your company profile text, notes, and bids — and we receive a limited licence to use it to provide the Service to you and, for Bid Review submissions, for the additional purposes set out in Section 6A.

6. AI-generated content

Summaries, tender classifications, match explanations, bid reviews, and chat responses are machine-generated and may contain errors. We take reasonable care to improve their accuracy but do not warrant they are complete or correct. Always verify the original tender document before committing bid resources.

6A. Bid Review (draft submission grading)

(a) What the feature is. Bid Review lets you upload a draft tender application (PDF or Word) for an open tender listed on the Service. We extract the text, and an AI model grades it against that tender's published award criteria (or, where no structured criteria were published, against criteria derived from the tender's own RFT documents — the output tells you which). You get a per-criterion score, gap analysis, and suggested improvements.

(b) How we use your submission — read this before uploading. Using Bid Review means TenderMatch analyses the submissions it receives. This is part of how the feature works, and a condition of using it:

  • We store your file and its extracted text, and process the text with an AI model to produce your review.
  • We link your submission to the tender it relates to and, when the contracting authority later publishes an award notice, we may record whether the bid won or lost (you can also tell us yourself).
  • We analyse submissions and their outcomes in aggregate — across many uploads — to improve the Service and to build statistical insight into what wins public tenders (for example: win rates by sector, or which characteristics correlate with higher evaluation scores).

If you do not want your submission used this way, do not upload it. There is no version of Bid Review without this analysis.

(c) Our confidentiality undertaking. In return, we commit to the following, each of which is enforced in the design of the system, not just promised:

  • No other user ever sees your submission. Your file, its text, and your grade are visible only to your own account (and to our staff for support and operations). Access to a submission is always checked against ownership.
  • Your bid text never enters any shared index. It is never added to the search corpus, the AI-chat document index, or any embedding store that serves other users. It is stored in a dedicated private storage bucket, separate from the public tender-document corpus, with no public access path.
  • Insights are aggregate only. Anything we derive from analysing submissions is statistical, across many uploads. We do not show one user's bid content, wording, pricing, or approach to another user, and we do not publish or sell individual submissions.
  • EU storage. Files and extracted text are stored on infrastructure in Germany (Hetzner). AI grading is performed by Google Cloud (Vertex AI) acting as our processor — see the Privacy Policy for processing locations and transfer safeguards.
  • You can delete it. From My submissions you can delete any upload at any time. Deletion removes the stored file, the extracted text, and the grade content. We retain a minimal administrative record (that a submission was made, which tender it related to, and its win/loss outcome) so our aggregate statistics stay accurate; that record contains none of your bid's content. Deleting your account removes even that record.

(d) Your warranties. By uploading a document to Bid Review you warrant that:

  • you have the right to upload it and to grant us the licence in (e) — including any necessary permissions from your employer, consortium partners, or subcontractors whose material it contains;
  • you have minimised personal data about other people in the upload where practicable. Bid documents often contain CVs, names, and references of key personnel. The grader does not need them: we encourage you to redact or summarise personal details of third parties before uploading. Where you do include personal data about others (e.g. staff CVs), you confirm you are entitled to share it with a service provider for the purposes described in (b), and that those individuals have been informed as required by law (for employees, this is normally covered by your own staff privacy notice);
  • the upload does not contain information you are under a binding obligation not to disclose to third parties (e.g. another party's confidential information you may not share with service providers), and does not infringe anyone's intellectual-property rights.

(e) Intellectual property. You retain all ownership of your submissions. You grant us a non-exclusive, non-transferable (except to our successors), royalty-free licence to store, reproduce, and process each submission and its extracted text for the purposes stated in (b): generating your review, correlating with public award outcomes, and producing aggregate, non-identifying analysis and statistics to improve and develop the Service. This licence ends for a submission's content when you delete it (aggregate statistics already derived, which contain no submission content, are unaffected). We claim no ownership of any insight you gain from your review.

(f) AI output — not professional advice. Bid Review grades are generated by an AI model. They may be incomplete or wrong, including about scoring weights and criteria. They are an automated writing aid, not bid-consultancy, legal, or procurement advice, and no score we produce predicts or guarantees any evaluation outcome by a contracting authority. Always verify against the original tender documents before relying on anything in a review.

(g) Limits. Bid Review is subject to a daily fair-use limit per account and a file-size cap, each shown on the upload page. We may change limits, suspend the feature, or decline to process an upload (e.g. unreadable or unsafe files).

(h) Liability. Section 7 (warranty disclaimer and liability cap) applies to Bid Review. In addition, to the maximum extent permitted by Irish law, we are not liable for the outcome of any tender process in which you use a reviewed bid, nor for losses arising from your inclusion of third-party personal data or confidential information in an upload in breach of (d).

(i) Termination and deletion. On account deletion, your submissions — including the minimal administrative records described in (c)(5) — are deleted per Section 8 and the Privacy Policy.

7. Warranty disclaimer & liability

The Service is provided "as is". To the maximum extent permitted by Irish law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability under these terms is capped at the fees you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability for fraud, gross negligence, or anything else that cannot lawfully be excluded.

8. Termination

You can terminate your account any time via settings. We can terminate accounts for non-payment or violation of these terms on 14 days' notice (or immediately for serious breach). On termination we retain data for 30 days then hard-delete per our Privacy Policy.

9. Governing law

These terms are governed by the laws of the Republic of Ireland. Exclusive jurisdiction lies with the Irish courts.

10. Changes

We may update these terms; material changes will be emailed to you at least 14 days before they take effect. Continued use after that date means you accept the new terms.
